DEFINITIONS
The term "SOFTWARE" includes, and these terms and conditions also apply to, any updates, modifications and upgrades to the SOFTWARE that you may receive from time to time.
The term "Virtue Affiliate" means the copyright owners of the SOFTWARE, Lupu Ionut and Popa Alexandru.
SOFTWARE PRODUCT LICENCE
The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual properties and treaties. The SOFTWARE is licensed, not sold.
- Software. You may install and use one copy of the SOFTWARE on one domain at a time. If you have purchased a Multi-Domain version then you may install the number your license entitles you to.
- Storage / Network Use. You may store or install a copy of the computer software portion of the SOFTWARE on another domain to allow your domain to use the SOFTWARE and distribute the SOFTWARE to your other domains ONLY if you have purchased the appropriate license to allow you to do this. However, you must acquire and dedicate a licence for the SOFTWARE for each domain on which the SOFTWARE is used or to which it is distributed. A licence for the SOFTWARE may not be shared or used concurrently on different domains.
- Back-Up Copies. You may make a single back-up copy of the SOFTWARE, to be used solely for archival purposes.
- Limitations on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
- Separation of Components. This SOFTWARE is licensed as a single product. Its component parts may not be separated for use on more than one machine.
- Rental. You may not lease or rent the SOFTWARE.
- Software transfer. You may permanently transfer all of your rights under this EULA provided you retain no copies, you transfer all of the SOFTWARE (including component parts, the media and printed materials, any upgrades, this EULA, and the recipient agrees to the terms of this EULA. If the SOFTWARE is an upgrade, any transfer must include all prior versions of the SOFTWARE. If the SOFTWARE is an upgrade, any transfer must include all prior versions of the SOFTWARE.
- Termination. Without prejudice to any other rights, Virtue Affiliate may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE from all of your domains.
If the SOFTWARE is an upgrade from another product, whether from Virtue Affiliate or another supplier, you may use or transfer the SOFTWARE only in conjunction with that upgraded product, unless you destroy the upgraded product. If the SOFTWARE is an upgrade of an Virtue Affiliate product, you now may use that upgraded product only in accordance with this EULA.
All title and copyrights in and to the SOFTWARE (including but not limited to any php code, images, photographs, animations, video, audio, music, text, data and "applets" incorporated into the SOFTWARE, are owned by Virtue Affiliate or its suppliers. The SOFTWARE is protected by copyright laws and international treaty provisions. You may not copy the printed materials accompanying the SOFTWARE.
This software, and accompanying documentation, contain valuable trade secrets belonging to Virtue Affiliate; and the licensee agrees to not disclose, in any manner, to any third party, any information pertaining to this software and the copy protection techniques it employs. The licensee agrees not (or allow any one else to): reverse engineer, decompile, disassemble it, or any way attempt to examine the algorithms used.
Virtue Affiliate warrants that the SOFTWARE will perform substantially in accordance with the accompanying written materials for a period of thirty (30) days from the date of receipt
Any implied warranties on the SOFTWARE are limited to ninety (90) days and one (1) year respectively.
Virtue Affiliate's and its suppliers' entire liability and your exclusive remedy shall be, at Virtue Affiliate 's option, either (a) return of the price paid, or (b) repair or replacement of the SOFTWARE and which is returned to Virtue Affiliate with a copy of your receipt. This Limited Warranty is void if failure of the SOFTWARE has resulted from accident, abuse or misapplication.
To the maximum extent permitted by applicable law, Virtue Affiliate and its suppliers disclaim all other representations, warranties, conditions or other terms, either express or implied, including, but not limited to implied warranties and/or conditions of merchantability and fitness for a particular purpose, with regard to the SOFTWARE and the accompanying written materials. This limited warranty gives you specific legal rights.
To the maximum extent permitted by applicable law, in no event shall Virtue Affiliate or its suppliers be liable for any damages whatsoever (including without limitation, direct or indirect damages for personal injury, loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of use of or inability to use this product, even if Virtue Affiliate has been advised of the possibility of such damages. In any case, Virtue Affiliate's and it's suppliers' entire liability under any provision of this agreement shall be limited to the amount actually paid by you for the SOFTWARE.
If you acquire the SOFTWARE in the United States, this license is governed by the laws of the State of New York. If you acquired the SOFTWARE in Canada, this license is governed by the laws of the Province of Ontario. Otherwise, this license is governed by the laws of the country in which you acquired the SOFTWARE.
